Terms of Service

These Terms of Service (“Terms”) govern your use of Scorepion at scorepion.win and any related features (the “Service”), which is provided by Techpharm LLC (“Techpharm,” “we,” “us,” or “our”).

By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

The Service is currently in beta. Read § 8 carefully — we may modify, suspend, or shut down the Service, and delete data, at our discretion.


1. Eligibility

You must be at least 13 years old to use the Service. If you are between 13 and the age of majority in your jurisdiction (typically 18 in the United States), you may use the Service only with the involvement of a parent or legal guardian who agrees to these Terms on your behalf.

By using the Service, you represent that you meet these requirements and that you are not barred from using the Service under the laws of your jurisdiction.


2. Your account

You are responsible for:

  • Providing accurate information when you sign up
  • Keeping your account credentials (including any third-party login such as Google) secure
  • All activity that occurs under your account

Notify us promptly at [email protected] if you believe your account has been accessed without your permission. We are not liable for losses caused by unauthorized use of your account.

You may delete your account at any time by emailing [email protected].


3. Acceptable use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable law
  • Impersonate any person or entity, or misrepresent your affiliation
  • Add another person to the Service (as a player, team member, or otherwise) in a way that is harassing, defamatory, or that you do not have a legitimate basis to do
  • Upload or post content that is defamatory, obscene, harassing, hateful, infringing, or otherwise objectionable
  • Attempt to access accounts, data, or systems other than your own
  • Probe, scan, or test the vulnerability of the Service, or breach security or authentication measures
  • Reverse engineer, decompile, or disassemble the Service, except to the extent this restriction is prohibited by law
  • Scrape, crawl, or use automated tools to access the Service except as we expressly permit
  • Interfere with or disrupt the Service or its infrastructure
  • Use the Service to send spam or transmit malware

We may investigate and take appropriate action (including suspending or terminating your account) against any conduct we determine, in our sole discretion, violates these Terms.


4. User content

“User content” means any content you submit to the Service, including but not limited to event names, team names, player names, match scores, location labels, and profile information.

4.1 Ownership

You retain all rights you have in your user content. We do not claim ownership of it.

4.2 License to us

You grant Techpharm a worldwide, non-exclusive, royalty-free license to host, store, reproduce, display, and distribute your user content solely for the purpose of operating and improving the Service. This license terminates when you delete the content or your account, except to the extent the content has been shared with others (for example, on a public share page) and they have a copy.

4.3 Responsibility

You are solely responsible for your user content and for any consequences of posting it. You represent that you have all rights necessary to grant the license in § 4.2 and that your content does not violate any third party’s rights.

4.4 No obligation to monitor

We are not obligated to monitor user content, but we may review and remove any content we determine, in our sole discretion, violates these Terms or is otherwise objectionable.


5. Public share pages

Event admins can enable public share pages that make event schedules, team names, standings, and completed scores viewable to anyone with the share URL. When you participate in an event with sharing enabled, your team name and scores may be publicly visible. If you do not want this, contact the event admin or email [email protected].


6. Intellectual property

The Service, including its source code, design, logos, the name “Scorepion,” and all related trademarks and content (other than user content), is owned by Techpharm and is protected by intellectual property laws. Except as expressly permitted, you may not copy, modify, distribute, or create derivative works from the Service.

Techpharm grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for personal, non-commercial purposes, in accordance with these Terms.


7. Feedback

If you send us feedback, suggestions, or ideas about the Service, you agree that we may use them without obligation to you, and you waive any rights you may have in the feedback.


8. Beta status; changes to the Service

The Service is offered as a beta. This means:

  • We may add, remove, or change features at any time, with or without notice
  • We may impose usage limits, restrict access, or take the Service offline temporarily or permanently
  • We may delete the database, reset data, or shut down the Service at our discretion
  • We do not promise that the Service will be available, error-free, or that any data you submit will be preserved

If we permanently shut down the Service, we will use reasonable efforts to give advance notice on scorepion.win or via email, but we cannot guarantee notice or that data will be exportable. You are responsible for keeping your own copies of any data that matters to you. Do not rely on the Service as a system of record.


9. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access to the Service, with or without notice, if:

  • You violate these Terms
  • We are required to do so by law
  • We discontinue the Service
  • Continuing to provide the Service to you would expose Techpharm to legal or operational risk

Termination does not entitle you to a refund (the Service is currently free; see § 11 for future paid features). Provisions that by their nature should survive termination (including § 4.2 license to user content already shared, § 6 intellectual property, § 12 disclaimers, § 13 liability limits, § 14 indemnification, and § 15 governing law) survive.


10. Third-party services

The Service uses third-party services including Google (for OAuth sign-in) and Supabase (for hosting, database, and authentication). Your use of those services is also subject to their respective terms. We are not responsible for the practices of third-party services.


11. Free service; future paid features

The Service is currently provided free of charge. We may introduce paid features, plans, or subscriptions in the future. If we do:

  • We will not charge you anything without first obtaining your express agreement to pricing and billing terms
  • Existing free functionality will not be retroactively removed without reasonable notice
  • Paid features will be subject to additional terms that we will publish before charging

12. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITH ALL FAULTS, AND WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, TECHPHARM DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WITHOUT LIMITING THE FOREGOING, TECHPHARM DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, FREE FROM ERRORS, OR THAT DEFECTS WILL BE CORRECTED; THAT ANY CONTENT OR DATA WILL BE ACCURATE OR PRESERVED; OR THAT THE SERVICE WILL MEET YOUR REQUIREMENTS.


13. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL TECHPHARM OR ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF, OR INABILITY TO USE, THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT TECHPHARM HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TECHPHARM’S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNTS YOU PAID TO TECHPHARM FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE LIABILITY, OR (B) USD $100.

Some jurisdictions do not allow the exclusion or limitation of certain damages. To the extent such limitations are not enforceable in your jurisdiction, our liability is limited to the maximum extent permitted by law.


14. Indemnification

You agree to defend, indemnify, and hold harmless Techpharm and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or in any way connected with: (a) your access to or use of the Service; (b) your user content; (c) your violation of these Terms; or (d) your violation of any rights of another.


15. Governing law and venue

These Terms are governed by the laws of the State of Michigan, United States, without regard to its conflict-of-laws principles. Any dispute arising out of or related to these Terms or the Service that is not subject to arbitration (where elected) must be brought exclusively in the state or federal courts located in the State of Michigan, and you consent to personal jurisdiction in those courts.


16. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will update the “Last updated” date above and, where required, provide additional notice (such as an in-app notice or an email). Continued use of the Service after the changes take effect constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, stop using the Service and delete your account.


17. Miscellaneous

  • Entire agreement. These Terms, together with the Privacy Policy, are the entire agreement between you and Techpharm regarding the Service.
  • Severability. If any provision is held unenforceable, the remaining provisions remain in effect.
  • No waiver. Our failure to enforce a provision is not a waiver of our right to do so later.
  • Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
  • Headings. Section headings are for convenience only and have no legal effect.
